1. Acceptance of Terms

Welcome to Voximi ("App," "we," "us," or "our"). By downloading, accessing, or using Voximi, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the App.

These Terms govern your use of the Voximi application, which allows users to clone voices and use them to narrate pre-installed fairy tales ("Service").

2. Service Description and Technology

Voximi provides a platform for text-to-speech synthesis using sophisticated voice cloning technology.

Important Notice: To provide this Service, Voximi utilizes artificial intelligence technology and services provided by a Technology Partner. Your voice data will be transmitted to and processed by this Technology Partner's systems to generate the audio output. Your use of Voximi is subject to these Terms as well as the acceptable use policies required by our Technology Partner.

3. User Representations and Voice Consent

Voice cloning is a powerful technology that must be used ethically and legally. By using the voice cloning feature in Voximi, you represent and warrant that:

• Ownership: The voice you are cloning is your own voice; OR
• Explicit Consent: You have obtained explicit, verifiable, written, and informed consent from the individual whose voice you are cloning to use their voice for the specific purpose of narration within this App.
• Waiver of Rights: You have obtained any necessary waivers of privacy, publicity, intellectual property, or moral rights from the owner of the voice.
• Prohibited Input: You will not provide any input content (voice or text) that is illegal or infringes upon the intellectual property, personal rights, or data rights of any third party.

You are strictly prohibited from cloning the voice of any third party without their explicit knowledge and clear permission.

4. Prohibited Conduct and Content Restrictions

You agree to use Voximi responsibly and lawfully. You shall NOT:

• Use the Service to create or disseminate content that is defamatory, libelous, harassing, threatening, hateful, discriminatory, or violates any applicable law.
• Use the Service to create deepfakes, impersonate others for fraudulent purposes, or engage in identity theft.
• Attempt to use cloned voices for phishing, scams, misinformation campaigns, or any other malicious activity.
• Generate audio for any purpose that could cause confusion, harm, or deceive others about the origin or authenticity of the audio content.
• Use the Service to create sexually explicit, violent, or otherwise inappropriate content targeting minors.
• Reverse engineer, decompile, or attempt to extract the source code or underlying algorithms of the voice cloning technology.
• Violate any local, state, national, or international law or regulation.

We reserve the right to suspend or terminate your access to the App immediately if we determine, in our sole discretion, that you have violated these Terms or are using the Service in an unethical or unlawful manner.

5. Technology Partner Terms and Conditions

Because Voximi relies on third-party technology for voice cloning and audio generation, you acknowledge that you must also comply with our Technology Partner's acceptable use policy and terms of service. These include, but are not limited to:

• Restrictions on generating misleading or harmful content.
• Prohibitions on impersonation and fraudulent activities.
• Compliance with data protection and privacy regulations.

Violation of the Technology Partner's terms may result in suspension or termination of your Voximi account and may also expose you to legal liability under the Technology Partner's terms and applicable laws.

6. Intellectual Property Rights

6.1 Your Content

You retain all ownership rights to your voice recordings and any audio content you generate using the App ("User Content"). However, by using the Service, you grant Voximi a limited, worldwide, non-exclusive, royalty-free license to use, process, and store your voice data solely for the purpose of providing and improving the Service.

6.2 Pre-installed Fairy Tales

All fairy tales and textual content provided within the App are either:

• In the public domain; or
• Licensed to Voximi for distribution through the App.

You may narrate these stories using a cloned voice for personal, non-commercial use only.

6.3 Voximi's Intellectual Property

The App, including its design, features, software, and underlying technology (excluding third-party technology), is the exclusive property of Voximi and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-transferable license to use the App for personal purposes only.

7. Data Privacy and Security

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal data, including your voice recordings.

Key points include:

• Voice recordings are processed securely and transmitted to our Technology Partner for audio synthesis.
• We do not sell or share your personal data with third parties for marketing purposes.
• You have the right to request deletion of your voice data at any time.

8. Subscriptions and Payments

8.1 Free Trial

Voximi offers a free trial that includes access to three (3) fairy tales and the ability to create one (1) voice profile at no cost.

8.2 Premium Subscription

To access additional fairy tales and voice profiles, you may subscribe to Voximi Premium. Subscription fees are non-refundable except as required by law or as stated in our refund policy.

8.3 Billing

Subscriptions are billed on a recurring basis (monthly or annually, depending on your selection). By subscribing, you authorize us to charge your payment method at the start of each billing cycle.

8.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to Premium features until that time.

9. Disclaimers and Limitation of Liability

9.1 "AS IS" Basis

The App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Voximi does not guarantee that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.

9.2 Limitation of Liability

To the fullest extent permitted by law, Voximi and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App, even if we have been advised of the possibility of such damages.

9.3 User Responsibility

You acknowledge that you are solely responsible for how you use the voice cloning Service. Voximi is not liable for any harm, legal consequences, or damages resulting from your misuse of the Service, including but not limited to cloning voices without proper consent or creating prohibited content.

10. Indemnification

You agree to indemnify, defend, and hold harmless Voximi, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the App;
• Your violation of these Terms;
• Your infringement of any third-party rights, including intellectual property or privacy rights;
• Your use of cloned voices without proper consent or authorization.

11. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or engaged in conduct that is harmful to the App, other users, or third parties.

Upon termination, you must immediately cease all use of the App, and any licenses granted to you under these Terms will automatically terminate.

12. Modifications to Terms

Voximi reserves the right to modify or update these Terms at any time. We will notify you of material changes by posting the updated Terms within the App or by email. Your continued use of the App after such modifications constitutes your acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or your use of the App shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization], except where prohibited by law. You agree to waive your right to a jury trial or to participate in a class action.
